Agreement to Terms

By accessing or using AgentShift ("the Platform"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Platform.

Description of Service

AgentShift provides a platform that connects real estate agents with brokerages seeking talent. We facilitate introductions based on career goals, preferences, and mutual fit. The Platform does not guarantee employment, partnerships, or successful matches.

User Eligibility

To use the Platform, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Hold valid real estate licenses or credentials as applicable
• Provide accurate and truthful information

User Accounts

Registration

You must create an account to access certain features. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

Accuracy

You agree to provide accurate, current, and complete information during registration and to update such information to maintain its accuracy.

Prohibited Conduct

You agree not to:

• Provide false or misleading information
• Impersonate another person or entity
• Use the Platform for any illegal purpose
• Harass, abuse, or harm other users
• Attempt to gain unauthorized access to the Platform
• Scrape, collect, or harvest data from the Platform
• Interfere with or disrupt the Platform's operation
• Use the Platform to spam or send unsolicited communications

For Agents

Service Terms

• The Platform is free for agents
• You control which introductions you accept
• You are not obligated to switch brokerages
• We maintain confidentiality regarding your job search
• You must conduct your own due diligence on potential brokerages

For Brokers

Service Terms

• Pricing is $150 per qualified introduction
• Minimum 3-month commitment required
• Introductions are pre-qualified based on your criteria
• No guarantee of agent acceptance or hiring
• You must conduct your own due diligence on potential agents
• Payment terms are specified in separate agreements

Quality Guarantee

If an introduction does not meet your specified criteria, we will provide a replacement introduction at no additional cost.

Intellectual Property

The Platform and its original content, features, and functionality are owned by AgentShift and are protected by international copyright, trademark, and other intellectual property laws.

Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGENTSHIFT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

Indemnification

You agree to indemnify and hold harmless AgentShift from any claims, losses, liabilities, damages, costs, or expenses arising from your use of the Platform or violation of these Terms.

Termination

We reserve the right to terminate or suspend your account and access to the Platform at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes. Your continued use of the Platform after changes become effective constitutes acceptance of the revised Terms.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.

Dispute Resolution

Any disputes arising from these Terms or your use of the Platform will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
